:e have e[amined all the relevant records of Persistent Systems /imited (the 'Company') for the year ended

March 31, 2017 for the purpose of certifying compliance of the conditions of Corporate Governance as per the relevant

provisions of the Securities and E[change Board of India (/isting Obligations and Disclosure Requirements) Regulations,

2015 (‘/isting Regulations’) as referred to in Regulation 15(2) of the /isting Regulations for the year from April 1, 2016

to March 31, 2017.

The compliance of conditions of Corporate Governance is the responsibility of the Management. Our e[amination

was limited to procedure and implementation process adopted by the Company for ensuring the compliance of the

conditions of Corporate Governance. The certiocate is neither an assurance as to the future viability of the Company

nor the efocacy or effectiveness with which the management has conducted the affairs of the Company.

In our opinion and to the best of our information and according to the e[planations given to us, we certify that

the Company has complied with all the mandatory conditions of Corporate Governance as stipulated in the /isting

Regulations, as applicable.
